1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Loopin platform, products and services ("Services"), provided by Loopin SaaS Ltd ("Loopin", "we", "us").

By accessing or using Loopin, you agree to these Terms.

If you use Loopin through your employer or another organisation, your use may also be covered by an agreement between that organisation and Loopin. Where there is a conflict, that agreement will take priority.

2. Our Services

Loopin is a people performance platform combining employee listening, organisational insight and digital coaching.

Features vary depending on the service your organisation has chosen and may be updated and improved over time.

We may occasionally need to modify, suspend or temporarily restrict parts of the service for maintenance, security or improvements.

3. Using Loopin

When using Loopin, you agree to:

• use the platform lawfully and appropriately
• keep your account details secure
• provide accurate information where required
• respect the privacy and rights of others
• not misuse, disrupt or attempt to gain unauthorised access to the platform

You are responsible for activity carried out through your account.

4. Digital coaching and AI

Some Loopin features use artificial intelligence to provide personalised coaching, guidance, analysis and recommendations.

AI-generated information is intended to provide helpful workplace support and should be considered alongside your own judgement and circumstances.

Loopin's digital coaching can support everyday wellbeing, reflection and development, but it is not a clinical mental health service, medical advice, diagnosis, therapy or emergency support.

If you or someone else is at immediate risk, you should contact the appropriate emergency or professional support service.

5. Intellectual Property

The Loopin platform, technology, content and related materials belong to Loopin or our licensors and are protected by intellectual property laws.

You are given the right to use Loopin for its intended purpose while you have authorised access to the service.

You retain ownership of information and content that belongs to you.

6. Privacy and Data Protection

We take the privacy and security of personal information seriously.

Our Privacy Policy explains how we collect, use and protect personal data.

Where Loopin provides its platform to an organisation and processes personal data on its behalf, Loopin acts as a data processor in accordance with the relevant customer agreement and applicable data protection requirements.

Your organisation may also have its own privacy information explaining how it uses information collected through Loopin.

7. Availability and Support

We aim to keep Loopin available and running reliably, but we can't guarantee uninterrupted access at all times.

Occasional maintenance, updates or unexpected outages may occur.

The support and service levels available to your organisation will depend on its agreement with Loopin.

8. Liability

To the fullest extent permitted by law, Loopin isn't responsible for indirect or consequential losses arising from use of the Services.

Unless a separate agreement with your organisation says otherwise, Loopin's total liability relating to the Services will not exceed the fees paid to Loopin in the 12 months before the claim.

Nothing in these Terms limits liability where it cannot legally be limited or excluded, including liability for death or personal injury caused by negligence or for fraud.

9. Suspension and Ending Access

We may suspend or end access to Loopin if these Terms are seriously breached, if required by law, or where reasonably necessary to protect our users, customers or platform.

When your authorised access ends, your right to use Loopin will also end.

Personal data will be handled in accordance with our Privacy Policy and, where applicable, our agreement with the organisation providing your access.

10. Changes to These Terms

We may update these Terms as Loopin and our Services develop.

We'll publish the latest version on our website and update the date at the top of this page.

11. Governing Law

These Terms are governed by the laws of England and Wales and any disputes will be subject to the jurisdiction of the English courts.
